These Terms of Service ("Terms") govern access to and use of WipeProof and related services made available by Data Scale Business Group LLC, a Wyoming limited liability company ("Data Scale Business Group LLC", "we", "us" or "our"), to business customers (the "Service").

WipeProof is the product and service through which we provide the evidence-orchestration functionality described in these Terms.

By ordering, accessing or using the Service, the customer agrees to these Terms together with any applicable order form, statement of work or other commercial agreement entered into with Data Scale Business Group LLC.

WipeProof provides an evidence-orchestration service designed around IT asset erasure workflows.

Where the Service makes account access available, the customer agrees to:

• Provide accurate registration information
• Keep any access credentials secure
• Restrict access to authorised personnel
• Notify WipeProof of suspected unauthorised access
• Remain responsible for activity conducted through its authorised accounts

Account features may not be available in every version of the Service. Where access is provided by other means, equivalent obligations apply to those access arrangements.

The customer agrees, as applicable, to:

• Use the Service lawfully and in accordance with these Terms
• Provide accurate operational information about assets, media and jobs
• Ensure it has authority to process and submit information relating to its customers, assets and media
• Maintain the security of its own systems and access credentials
• Configure or operate third-party erasure tools in accordance with applicable instructions where customer action is required
• Verify that selected sanitisation methods are appropriate for its legal, contractual and technical requirements
• Not misuse or interfere with the Service

WipeProof relies on third-party technology, including third-party erasure engines, to support parts of the overall erasure workflow.

The underlying erasure engine performs the media sanitisation operation and generates the relevant source erasure result or report.

WipeProof does not independently perform or certify the underlying media sanitisation. WipeProof provides the evidence-orchestration layer around the source result, including operational record linkage, evidence ingestion, matching, exception visibility and certificate output.

Third-party technology and services may be subject to their own terms, technical limitations and availability conditions. Source reports remain attributable to the provider that produced them.

An evidence record may include:

• Asset and media identity
• Erasure outcome
• Erasure method
• Source report reference
• Timestamp
• Matching status
• Certificate metadata

A WipeProof certificate is an evidence output generated from the information available in the relevant matched operational record. It reflects that record; it is not an independent legal or regulatory certification of the customer, and it is not a certificate of physical destruction.

The certificate does not constitute an independent certification by Data Scale Business Group LLC of the underlying media sanitisation process.

The reliability of an evidence record depends in part on the accuracy and completeness of customer-supplied information and source evidence made available to WipeProof. The customer remains responsible for ensuring that identifiers and submitted information are correct.

Where the applicable order form or commercial agreement uses WipeProof's pay-on-proof model, a record becomes customer-billable only when the agreed successful-proof conditions have been satisfied. This generally means that the relevant erasure result has been reported as successful, the required source evidence has been received, the evidence has been matched to the appropriate operational record and the applicable certificate or proof record has been issued.

Failed erasures, unresolved evidence mismatches or records for which successful proof has not been produced are not customer-billable under the standard pay-on-proof model, unless otherwise expressly agreed in the applicable commercial agreement.

Fees for the Service are set out in the applicable order form, statement of work, invoice or other commercial agreement between the customer and Data Scale Business Group LLC.

Fees may vary based on service scope, usage, volume, media type, integrations or other agreed commercial factors.

The customer will pay all applicable fees and taxes in accordance with the payment terms stated in the relevant commercial documentation.

Except where expressly stated otherwise in an applicable commercial agreement or required by law, fees are non-refundable once the corresponding billable Service has been provided.

The customer must not:

• Use the Service unlawfully
• Interfere with the security or integrity of the Service
• Attempt unauthorised access to the Service or related systems
• Upload or transmit malicious code
• Submit data it is not entitled to process
• Use the Service to misrepresent erasure outcomes
• Manipulate evidence records to create false proof
• Reverse engineer the Service, except where that restriction is prohibited by applicable law
• Abuse the underlying infrastructure or disrupt other customers

As between the parties, Data Scale Business Group LLC and its licensors retain all right, title and interest in and to WipeProof, including the software, product architecture, workflows, interfaces, documentation, designs and underlying technology used to provide the Service. This includes, where applicable, reusable technology such as:

• Software and platform architecture
• Workflows and provider adapters
• Evidence ingestion and parsing logic
• Matching logic and the certificate framework
• Generic APIs, connectors and integrations
• Templates, design system and documentation
• Trademarks, names and brand assets

The customer retains ownership of data and materials supplied by or on behalf of the customer, subject to the rights reasonably required for Data Scale Business Group LLC to provide, support, secure and improve the Service in accordance with the applicable agreement and Privacy Policy.

Nothing in these Terms transfers ownership of reusable WipeProof technology to a customer. Rights granted to a customer are a limited right to use the Service in accordance with these Terms and the applicable agreement.

Each party may receive non-public business or technical information from the other in connection with the Service. Each party agrees to protect that information using reasonable measures and to use it only for the purposes of the relationship between the parties.

Confidential information may be shared with personnel and service providers who need access to it for those purposes and who are subject to equivalent obligations, and may be disclosed where required by law.

Personal information is handled as described in the WipeProof Privacy Policy and in any applicable contractual data-protection arrangements agreed with the customer.

Where the processing of personal data on a customer's behalf requires a separate data-protection agreement, the terms of that agreement apply to that processing.

The Service continues to develop, and features may be added, modified or withdrawn over time. Maintenance may be carried out from time to time, and availability can be affected by third-party dependencies outside WipeProof's control.

Where a change to the Service is material, WipeProof will provide reasonable notice through appropriate channels where it is practical to do so.

WipeProof is an evidence-orchestration service and does not provide legal, regulatory or compliance advice.

Data Scale Business Group LLC does not independently perform or certify the underlying media sanitisation carried out by a third-party erasure engine.

Customers remain responsible for determining whether the selected erasure method, operational process, source evidence and resulting evidence records satisfy their own legal, regulatory, contractual, security and technical requirements.

The Service is provided subject to the limitations, dependencies and conditions described in these Terms and any applicable commercial agreement.

To the maximum extent permitted by applicable law, Data Scale Business Group LLC, its affiliates, officers, employees, contractors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, arising out of or relating to the Service, these Terms or the use of WipeProof, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of Data Scale Business Group LLC arising out of or relating to the Service or these Terms will not exceed the total fees paid or payable by the customer to Data Scale Business Group LLC for the WipeProof Service during the twelve (12) months immediately preceding the event giving rise to the claim.

WipeProof provides an evidence-orchestration layer around third-party erasure technology. Data Scale Business Group LLC does not independently perform or certify the underlying media sanitisation. The customer remains responsible for determining whether the selected erasure method, source evidence and resulting evidence records satisfy its own legal, regulatory, contractual and technical requirements.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

Access to the Service may be suspended or terminated where appropriate, including:

• Material breach of these Terms or the applicable agreement
• A security risk arising from the customer's use of the Service
• Unlawful use of the Service
• Non-payment under the applicable agreement
• Where required by law
• Termination in accordance with the applicable commercial agreement

Notice requirements, cure periods and the consequences of termination are those set out in the applicable order form or commercial agreement.

Provisions that by their nature are intended to continue after termination — including intellectual property, confidentiality and any agreed liability provisions — continue to apply to the extent relevant.

These Terms and any dispute, claim or controversy arising out of or relating to these Terms, the WipeProof Service or the relationship between the customer and Data Scale Business Group LLC will be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles.

Subject to any mandatory rights or jurisdictional rules that cannot lawfully be excluded, the parties agree that the state and federal courts located in the State of Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to the personal jurisdiction of those courts.

Nothing in this section limits any rights or protections that apply under mandatory law and cannot validly be waived by agreement.
